cooperate with eligible companies under a common brand to profit from synergies of multi-national
operations. These are, in particular, the utilization of

What does this mean?
Let us look at a example
from early 2001: (1) In Germany, the economic
boom in the banking sector lead to a severe shortage of programmers, while the
US IT industry experienced a slowdown. Programmers laid off in the US
found tremendous opportunities Germany. Its
recent introduction of "Green Cards" for foreign IT-specialists made
this feasible. (2) In
addition, the inversely proportional development of salary levels fueled the
incentive for programmers to move on.
In this scenario, personnel consultancies need a presence in
both the US and Germany to compete effectively.

We are seeking further small to
mid-sized personnel consultancies, which specialize in the IT market. We also consider entrepreneurial IT professionals who have the resources to
make a significant impact within a reasonable start-up period.
Since "What you share is what you get" we
depend on your active cooperation for the benefit of everyone. This enhances our common know-how, organizational growth, and overall
profitability.
To avoid unnecessary and complex legal and tax issues, team
members operate as separate and
independent legal entities.

No Brand - No Blue Chip Business
Corporations are outsourcing entire departments, because the
costs of monitoring an inflated organization far exceed the benefits of focusing
on their core business. Obviously they will therefore not readily do business
with a list of small and mid-sized companies.

some form of local corporate identity. We also understand

a common brand. We therefore allow members to operate with dual corporate
designs until they feel comfortable with the common brand. Once you are securely
entrenched in the organization, we believe that the old identity could very well
prove to be a hindrance and that you will be inclined to phased it out voluntarily.

The organization
is designed to utilize the investments you have already made to run your
firm. For
example, you incur no additional costs by adding a further feature to your
stationary, advertising, and so on. As
Members have been visiting trade shows, networking events, and job fairs per se,
they are, in general, not reimbursed for their participation, which is now also
on behalf of the group. Vice versa, they are not expected to reimburse fellow
Members representing them at fairs and events abroad. This
policy is, of course, subject to review, if the group decides to dispatch a
representative with a defined marketing mission.

Since your and our time is very valuable, we minimize
member's contribution to the organization, we structure and automate procedures,
and standardize internal communication wherever possible.
However, the reasonable input required from
members is essential
for the overall success and must receive priority treatment.

The organizations is referred to in member's marketing materials and
stationary as "In cooperation with ..." or "Member of the IT-Careernet.com Group
of Companies"
C. Marketing & Mutual Representation

Members participate in Joint Marketing Campaigns on a
regular basis (e-mailings, brochures, presentations). A majority vote
regarding participation is binding for all members.

Members make reasonable and ongoing contributions to the common
resource pool: Weekly publication of job vacancies and resumes.

Members promote the organization through their marketing
activities, at

If the leads generated do not conflict
with the members' business, they either add these to the common database or posted
to the website.

Exclusive
rights of representation in a particular city or geographic region should only
be granted to those entities which justify the exclusion of other members by their
overall contribution to the system.
Applications for exclusive representation status in your country,
province and/or city will be reviewed every 3-6 months. Granting of
statues will depend on your past performance and future prospects.

Since we have
subsidized the start-up costs, and incur an additional layer of ongoing
administrative and third party expenses to coordinate and manage the
organization, we charge a Annual Membership Fee in the amount of US$ 360.00.
However,
in the the interest of the group will subsidize the organization and waiver one year's Membership Fee if you
refer a new member which signs up with the organization.
